TERMS OF SALE & PURCHASE CONDITIONS

1. PROPOSALS, APPROVALS & ORDER ACCEPTANCE

All quotations issued by North Coast Contract Furniture (“North Coast”) remain valid for thirty (30) calendar days unless otherwise stated in writing.

Pricing, materials, dimensions, finishes, engineering details, and fabrication specifications are based solely on the information approved by the purchaser (“Client”).

Any modification to the scope of work — including but not limited to sizing, quantities, materials, finishes, schedules, or design revisions — may require a revised quotation and approval before production may continue.

Orders are not considered accepted until:

  • Signed by Client

  • Returned to North Coast within ten (10) days of issuance

  • Accepted by North Coast

Once executed, the approved proposal becomes a binding sales agreement and authorizes production to begin.


2. PAYMENT REQUIREMENTS

Unless otherwise agreed to in writing:

  • A non-refundable 50% deposit is required before materials are ordered or fabrication begins

  • Remaining balance is due prior to shipment, delivery, or release of products

  • Production scheduling will not commence until funds have cleared

If completed products cannot be received by Client upon completion, North Coast reserves the right to invoice in full and assess storage or handling fees.

Past due balances are subject to:

  • 5% late fee on outstanding amounts

  • Additional 2% monthly finance charge beginning after 30 days

  • Maximum accrued penalties not to exceed 15% of the original unpaid balance

If payment is not received within six (6) weeks following project completion, North Coast may:

  • Cancel the agreement

  • Retain all prior payments

  • Dispose of, repurpose, or resell the products without limitation

All pricing excludes taxes, freight, insurance, duties, and delivery-related charges unless specifically noted otherwise. Payments must be made in U.S. currency.


3. ESTIMATED PRODUCTION SCHEDULES

All lead times are approximate and begin only after final approvals and cleared deposit funds.

North Coast shall not be responsible for delays related to:

  • Vendor or material shortages

  • Freight carrier scheduling

  • Labor interruptions

  • Supply chain disruptions

  • Circumstances beyond reasonable control


4. SHIPPING, FREIGHT & DELIVERY

Products will not ship until all outstanding balances have been paid in full.

Unless otherwise agreed in writing, all orders ship FCA (Incoterms® 2020) from the North Coast facility. Responsibility for loss or damage transfers to Client upon release to the carrier.

Changes to scheduled delivery within forty-eight (48) hours of shipment may incur a rescheduling charge equal to fifteen percent (15%) of the order value.

Client is solely responsible for any customs requirements, import/export documentation, taxes, duties, or governmental approvals.


5. RETURNS & CANCELLATIONS

All orders are considered final sale.

Because products are custom-built or made-to-order, returns, refunds, or exchanges are not permitted except where expressly required under an applicable written warranty.


6. PROJECT TERMINATION

North Coast reserves the right to approve or deny cancellation requests.

If cancellation is approved:

  • All deposits and payments previously received shall remain non-refundable

  • Client remains responsible for labor, materials, engineering, storage, and production costs incurred to date


7. OWNERSHIP & RISK TRANSFER

Ownership transfers to Client only after full payment has been received.

Risk of loss transfers upon delivery of products to the shipping carrier.


8. WARRANTY DISCLAIMER & LIABILITY LIMITATIONS

Except where expressly provided in writing, North Coast disclaims all warranties, whether express or implied, including warranties of merchantability or fitness for a particular purpose.

North Coast shall not be responsible for:

  • Lost profits

  • Business interruption

  • Consequential damages

  • Incidental or punitive damages

Maximum liability under any claim shall not exceed the total amount paid for the applicable project.


9. CLIENT RESPONSIBILITY & INDEMNIFICATION

Client agrees to defend and indemnify North Coast against claims, losses, liabilities, or expenses arising from the use, resale, installation, or misuse of products, except where caused solely by North Coast’s gross negligence.


10. GOVERNING LAW

These terms shall be governed under the laws of the State of Michigan.

Any dispute arising from this agreement shall be resolved exclusively within Michigan courts.

The prevailing party in any legal action shall be entitled to recover reasonable legal fees and associated costs.


11. OWNERSHIP OF DESIGNS & CREATIVE MATERIALS

All renderings, concepts, shop drawings, product designs, specifications, photography, and related creative materials remain the intellectual property of North Coast unless otherwise agreed to in writing.

North Coast retains the unrestricted right to reuse or reproduce designs for future projects and marketing purposes.


12. PRODUCT USE RIGHTS

Upon final payment, Client receives a limited right to use the purchased products.

No rights are granted to reproduce, manufacture, duplicate, or commercially exploit North Coast intellectual property or proprietary designs.


13. RESELLER TERMS

Approved dealer or reseller accounts may market products only within authorized regions and pricing structures.

No exclusivity rights are granted unless specifically stated in writing.


14. MARKETING RIGHTS

Unless otherwise agreed in writing, North Coast reserves the right to photograph completed projects and use associated imagery for advertising, portfolio, website, editorial, or promotional purposes.


15. MATERIAL VARIATION & PRODUCT CHARACTERISTICS

Because many products incorporate natural hardwoods, stone, leather, and handcrafted fabrication methods, variations are expected.

Differences in:

  • Wood grain

  • Color tone

  • Texture

  • Natural movement

  • Stone veining

  • Finish appearance

are inherent characteristics and shall not be considered defects.

Client is responsible for confirming dimensions, accessibility, and suitability for the intended installation environment prior to production.


16. FORCE MAJEURE

North Coast shall not be liable for delays or inability to perform caused by events outside reasonable control, including but not limited to:

  • Natural disasters

  • Weather events

  • Pandemics

  • Labor shortages or strikes

  • Transportation interruptions

  • Government actions

  • Supply chain disruptions

  • Material unavailability
